These Terms of Service ("Terms") govern your use of the websites, products, and services provided by Lepimentel Consulting Inc. ("we," "us," or "our"), including SpotOn, LearnROI, and any custom AI solutions. By accessing or using our services, you agree to be bound by these Terms.
Lepimentel Consulting provides AI-powered software solutions and consulting services. Our products include SpotOn (vehicle tracking and service workflow for dealerships), LearnROI (learning analytics for enterprise L&D), and custom AI engagements. Service details, scope, and deliverables are defined in individual agreements or statements of work.
We may offer pilot programs for our products. Pilot terms, including duration, scope, and any associated costs, will be agreed upon in writing before the pilot begins. Pilot programs may be terminated by either party with reasonable notice.
Paid services are billed on a monthly or annual basis as specified in your service agreement. Prices are subject to change with 30 days' written notice. One-time setup fees, where applicable, are due upon service activation.
Your use of our services is also governed by our Privacy Policy. You retain ownership of all data you provide to our systems. We process your data solely to deliver and improve the services you have contracted.
All intellectual property in our products and services, including software, designs, and documentation, remains the property of Lepimentel Consulting Inc. You are granted a non-exclusive, non-transferable license to use the services for the duration of your agreement.
To the maximum extent permitted by law, Lepimentel Consulting shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the use of our services. Our total liability shall not exceed the fees paid by you in the twelve months preceding the claim.
Either party may terminate a service agreement with 30 days' written notice. Upon termination, we will provide reasonable assistance in exporting your data. Certain provisions of these Terms, including intellectual property and limitation of liability, survive termination.
These Terms are governed by the laws of the Province of British Columbia, Canada. Any disputes arising from these Terms shall be resolved in the courts of British Columbia.
We may update these Terms from time to time. Material changes will be communicated via email or through our website. Continued use of our services after changes take effect constitutes acceptance of the revised Terms.
